Terms of Service

These Terms of Service ("Terms") govern your access to and use of Layoutly, a PDF template design and document-rendering platform operated by Techify ("Layoutly", "we", "us", or "our"), available at layoutly.tech and through our API. By creating an account, or by accessing or using the service in any way, you agree to be bound by these Terms. If you do not agree, do not use Layoutly.

Layoutly lets you design reusable PDF templates in a visual editor, generate layouts with AI assistance, and render documents on demand through our dashboard or our REST API. Free accounts are limited in templates, monthly renders, and AI generations, and outputs include a Layoutly watermark. Paid plans (currently "Pro" and "Scale") increase those limits and remove the watermark, as described on our pricing page, which forms part of these Terms.

You must provide accurate information when creating an account and keep your credentials and API keys confidential. You are responsible for all activity that happens under your account and API keys, including usage by anyone you share them with. You must be at least 16 years old, or the age of digital consent in your country, to use Layoutly.

Paid plans are billed in advance on a monthly, six-monthly, or annual cycle, as chosen at checkout, and renew automatically until cancelled. Prices are shown in your local currency at checkout and may include tax where applicable.

Payments are processed by Paddle.com, our authorized reseller and Merchant of Record for all orders. Paddle handles checkout, collects payment on our behalf, issues receipts, remits any applicable sales tax or VAT, and is the merchant your card or bank statement will show. You can cancel a subscription at any time from your account settings; cancelling stops future renewals, but you keep paid-plan access until the end of the billing period you already paid for. We may change plan pricing going forward; changes won't affect a billing period you've already paid for.

You agree not to use Layoutly to:

• Generate, store, or distribute unlawful, infringing, fraudulent, or harmful content;
• Attempt to bypass usage limits, rate limits, or watermarking on the Free plan;
• Reverse-engineer, scrape, or resell the service without our written permission;
• Probe, disrupt, or overload our infrastructure or that of our providers; or
• Upload malware or content that infringes a third party's intellectual property rights.

We may suspend or terminate accounts that violate this section.

You own the templates, data, and documents you create or upload to Layoutly ("Your Content"). You grant us a limited license to host, process, and render Your Content solely to provide the service to you. We own Layoutly itself — the software, editor, API, generic template designs we provide, and our branding — and no rights to it transfer to you beyond what's needed to use the service under these Terms.

API keys are issued per plan and are subject to the monthly render, template, and AI-generation limits shown on our pricing page. We may throttle, queue, or reject requests that exceed those limits or that we reasonably believe are abusive.

You may stop using Layoutly and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, including non-payment, and, where reasonably possible, we'll give you notice first. On termination, your right to use the service ends; sections that by their nature should survive (e.g., IP, disclaimers, liability) will continue to apply.

Layoutly is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We don't guarantee the service will be uninterrupted, error-free, or that generated documents will be fit for any specific regulatory or legal use — you're responsible for reviewing output before relying on it.

To the maximum extent permitted by law, Layoutly and Techify will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.

We may update these Terms from time to time. If we make material changes, we'll notify you by email or with a notice in the app before they take effect. Continuing to use Layoutly after changes take effect means you accept the updated Terms.

These Terms are governed by the laws applicable to Techify's place of business, without regard to conflict-of-law principles, except where local consumer-protection law gives you additional mandatory rights.
